Terms governing your use of Local Password Vault
Effective Date: January 1, 2025
This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Local Password Vault ("Licensor") for the use of Local Password Vault software ("Software").
By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. Your license confers no ownership rights.
Licensor may provide updates, patches, or new versions of the Software. These updates are subject to this Agreement unless accompanied by a separate license. Your license includes free updates for the lifetime of the product.
The Software operates entirely on your local device. Your data is encrypted and stored locally. Licensor does not have access to your vault contents, master password, or encryption keys. You are solely responsible for maintaining backups of your data.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless Licensor from any claims, damages, or expenses arising from your use of the Software or violation of this Agreement.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use of the Software and destroy all copies.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.
If any provision of this Agreement is held to be unenforceable, the remaining provisions will continue in full force and effect.
